Job Description
Malouf is seeking a detail-oriented and experienced Corporate & Intellectual Property Paralegal to join our legal team. This individual will play a key role in supporting corporate governance, intellectual property management, and transactional matters. The ideal candidate has strong organizational skills, excellent judgment, and thrives in a fast-paced environment where precision and proactive problem-solving are valued.
This is a full-time position. General schedule is 8am-5pm Monday - Friday in the office. No alternative schedules are available.
Key Responsibilities
- Manage trademark and patent portfolios, including filing, renewals, and correspondence with outside counsel.
- Maintain IP docketing systems and track deadlines for applications and renewals.
- Conduct preliminary trademark searches and assist with brand clearance efforts.
- Support enforcement activities and maintain records of IP ownership and licensing.
- Maintain corporate records and organizational documents.
- Track and ensure compliance with corporate governance requirements.
- Support M&A, financing, and commercial transactions by organizing due diligence materials, preparing closing binders, and managing signature processes.
- Draft, review, and maintain standard agreements and templates under attorney supervision.
- Coordinate execution of NDAs, vendor agreements, and other routine contracts.
- Support task flow by identifying and escalating priorities from attorney correspondence.
Qualifications and Skills
- Minimum 4+ years of experience.
- Strong knowledge of corporate governance, transactional processes, and intellectual property management.
- Excellent attention to detail, organizational skills, and the ability to manage multiple priorities.
- Strong written and verbal communication skills with the ability to interact effectively with internal stakeholders and external counsel.
- Bachelor's degree or paralegal certificate is a plus
