Our growing team has an open role for a skilled Corporate Paralegal to provide comprehensive support to our legal and executive teams. This is an in-office, full time position during normal business hours. This role involves managing legal entity records, drafting basic legal documents, and assisting with other corporate transactions. The ideal candidate will have a solid foundation in corporate law, exceptional organizational skills, and the ability to work independently in a fast-paced environment. Corporate bankruptcy experience is a plus.

Key Responsibilities

  • Performing initial review and revisions of nondisclosure agreements;

  • Assisting with document preparation, including limited liability company agreements and related documents, recordkeeping and file management;

  • Liaise with outside counsel, Hilco’s business units operating companies, registered agents and service providers, coordinating information and documents on an as-needed basis;

  • Preparing various corporate governance documents, including drafting, tracking and coordinating filings with regulatory agencies, managing registered agent communications, handing annual report filings, filing entity formations, amendments, foreign-state qualifications, trade name registrations, withdrawals, apostilles/legalizations, and cancellations;

  • Preparing, updating and maintaining organization charts with subsidiary and ownership details;

  • Maintaining internal tracking and reporting of entity and/or transaction related information;

  • Responding to KYC and UBO information requests;

  • Receiving and responding to SOPs and subpoenas, including running internal email searches for document requests; and

  • Performing conflict checks and assistance with drafting disclosure schedules for bankruptcy court filings.

Qualifications

  • Bachelor’s degree;

  • 10+ years corporate paralegal experience, in-house preferred;

  • Significant experience in corporate governance and with reviewing non-disclosure agreements;

  • Strong written and verbal communication skills;

  • Ease with Microsoft office software, Visio experience helpful;

  • Excellent organizational skills;

  • Ability to handle confidential information with discretion;

  • High attention to detail;

  • Ability to handle multiple priorities and track tasks accurately;

  • Ability to work independently and within a team environment;

  • Ability to communicate effectively with all levels of management and co-workers;

  • Can learn new tasks quickly in a fast-paced environment; and

  • Open to learning new tasks with a positive attitude.


In compliance with Illinois Pay Transparency Law, the target base salary for this role in Illinois is $100,000.00. This target does not include discretionary bonus or other forms of compensation or benefits offered in connection with this job. Several factors are considered when determining a candidate’s compensation. Please note that the base salary listed for this position is based on the level of experience outlined in the job description. If a candidate's experience differs from the requirements, the salary may be adjusted accordingly.
