Duties & Responsibilities:

As Legal and Compliance Specialist at VIAVI, you will work with senior legal management and other professionals to support the corporate legal department on key department initiatives, including Sustainability and Regulatory Compliance.

Responsibilities may include:

Compliance and Sustainability

• Conducting legal research and analysis on best practices, regulatory requirements, and emerging trends in sustainability, including staying updated on emerging local and international regulations related to sustainability and compliance.
• Provide guidance to Operations and Facilities teams on the collection, interpretation, and analysis of data on energy consumption, waste management, carbon emissions, and other sustainability metrics to align with California and other jurisdictional reporting and disclosure requirements
• Review and provide advice on all public-facing sustainability disclosures, including on external website, in annual sustainability report and other public filings.
• Represent Legal department on sustainability working group.

Corporate Governance

• VIAVI Subsidiary Management: Facilitate meetings of the boards of directors, coordinate communications with directors and senior management, prepare minutes and consents, file annual reports, maintain corporate records and conduct factual and legal research
• Liaise with outside counsel and foreign firms on foreign subs
• Maintain legal entity ownership table and legal entity list
• Maintain legal entity database (Diligent)
• Respond to inquiries from other departments with information on legal entities
• Conduct a thorough review of the business purpose of entities marked for elimination
• Complete upstream mergers, liquidations and dissolutions of subsidiaries
• Work on integration matters related to corporate transactions

Department Support

• Manage special projects, including research and investigations
• Manage and maintain department sensitive materials and inventory
• Manage and maintain legal document depository
• Support the continuous improvement of standard form agreements and legal processes.

Pre-Requisites / Skills / Experience Requirements:

Additional

• Bachelor's degree in Environmental Science, Sustainability, Environmental Health & Safety, or related field preferred
• Minimum 1-2 years of experience preferred
• Strong organizational skills and attention to detail
• Intellectually curious
• "Can-do" attitude, pro-active, and resourceful
• Able to multi-task
• Must have knowledge of Microsoft Office software products, including Outlook, Excel, Word, Teams, SharePoint, and PowerPoint
