Legal Counsel Lead
Summary of the Role:
This position requires an IT lawyer that can confidently handle a wide range of technology contracts for provision of all different types of IT solutions and services, including software license, Software as a Service, hardware supply, technology licensing and development agreements, support and maintenance and consultancy services. This person will be the lead lawyer providing legal support (including drafting and negotiation and risk analysis) to Airport and Airline Operations and Boarder Control affairs and manage contractual documentation with customers in Americas and be first point of contact for the managers in the supported business unit in Americas region.
The role will involve end-to-end management of the relevant contracts, from first engagement with the customer, reviewing and responding to public and private tenders, advise on the bid documentations, supporting and managing negotiations, managing required escalations to management, through to support and advice on post signature matters.
In This Role You'll:
Contracts Negotiation Support, Tender Reviews and Legal Advice:
Legal and commercial support: prepare underlying documentation, negotiate and manage agreements for the supported BUs, attending negotiations where necessary in person, identifying key risk items for Amadeus particularly in upstream/ downstream contexts.
Review documentation of the public tenders and bids, preparing bid response documentation, contract deviations and escalation of legal recommendations to senior management of the supported BUs. Assist in advising senior management of the supported BUs on legal risks related to Amadeus' strategy from a deal perspective; prepare Executive summary and risk assessment for business senior management view prior to contract signature.
Advise and provide training to business regarding contract obligations and cross-legal matters.
Implement and enforce internal procedures relating to pre-sales, sales, implementation and post-signature processes.
Advise on security, regulatory, compliance issues, basic data privacy and legal concerns when onboarding new customers, reviewing bids and negotiating contracts;
Close coordination with vendor management lawyers where upstream agreement impacts contracts to be signed with vendors and vice versa.
Post Contract Support
Analyze and advise on interpretation of signed customer contracts;
Claims handling: investigate merits of claims and manage settlement of claims received from the customers post contract signature;
Perform contract management of the agreements with existing customers (prepare contractual documentation required post signature, e.g. contract amendments, supplements and change orders);
Regularly maintain and update documentation on legal databases etc.
Manage contract templates, and internal procedures relating to BUs customer contracts
Maintain contract documentation and guidelines up-to-date with legal developments, industry best practices, and Amadeus policies (coordinating as necessary with internal stakeholders as appropriate); adapt template documentation as required, using template documents and policies established by central legal teams responsible for global templates and policies with regards to different types of customer contracts, Master agreements, Standalone agreements, Change Control documentation, Pilot Agreements, Letters of Intent, etc;
Advise and escalate to senior management strategic standard positions in Amadeus template documentation.
Coordinate with and review input provided by various business owners of contractual documentation;
Contribute to updating of global templates by providing feedback on contract positions following negotiations; share best practices and expertise with the team colleagues and provide ad hoc support when needed.
Support in rolling-out of know-how tools and templates and procedures to support risk management for supported BU, provide legal guidelines to the business partners in supported BU.
About the Ideal Candidate:
University Degree in Law, and/or Masters Degree in Law
5 -7 years relevant work experience, in a law firm or in the legal department of an international company.
Basic knowledge of the company and more particularly, the IT products and services. Experience in public procurement matters is an advantage. Identification with Amadeus culture, values, strategy and main challenges.
