SUMMARY: As a member of M Financial's Legal and Corporate Governance team, you will be responsible for supporting the Corporate Secretary and in-house attorneys on a broad range of issues with a specific focus on corporate governance and compliance efforts.

RESPONSIBILITIES:

  • Corporate Governance:  Preparation and maintenance of corporate records, including board and committee materials, meeting minutes, resolutions and other governance documents. Assist with the scheduling and organizing documentation for board and committee meetings and annual stockholder meetings. Maintain corporate records, including, meeting minutes, entity formation documents and annual filings.
  • Legal Research and Document Drafting: Conduct legal research on various issues related to corporate law, securities and insurance law, including regulations, statutes and case law and prepare summaries. Assist in drafting, editing and reviewing of legal documents such as contracts, agreements, and corporate governance documents. Maintain and update legal files and document management systems.
  • Project Support: Contribute to a broad range of projects as assigned.

QUALIFICATIONS:

  • Strong understanding of risk management principles and practices
  • Excellent analytical and problem-solving skills
  • Effective communication and interpersonal skills to collaborate with stakeholders at all levels
  • Detail-oriented with a strong focus on accuracy and quality
  • Ability to work independently and manage multiple projects simultaneously
  • Sound judgment and ability to make decisions in complex and ambiguous situations
  • Collaborative mindset
  • Understand and comply with company, policies, practices and procedures
  • Proficient in the use of legal research tools such as Lexis Nexis
  • Proficient in the use of Microsoft Office, especially Word, PowerPoint and Outlook

REQUIREMENTS:

  • Minimum of 5 years of progressively responsible, related work experience
  • Minimum of 3 years of corporate or legal experience (either at a law firm or in-house)
  • Current Paralegal Certificate preferred
  • Corporate Secretary experience preferred

JOB CONDITIONS AND ENVIRONMENT:

  • Hybrid work environment in Dallas, TX, primarily onsite 4 days/week
  • Normal office environment/desk assignment
  • Extensive use of PC's, computer terminal, display, keyboard, and mouse
  • Potential for light travel, up to 10%
  • Extensive hands-on work with documents, spreadsheets, and other applications
