Job Description

SolAmerica Energy is a private equity-backed firm who develops, builds, owns, and operates distributed generation (DG) solar projects and energy storage solutions.

The Transactions Paralegal will be responsible for comprehensively understanding and supporting SolAmerica’s transactions, particularly with respect to data room population, data room management, Q&A log management, closing checklist development and oversight, and ancillary document preparation.  In support of the same, the Transactions Paralegal will work seamlessly with the Development team in understanding SolAmerica’s pipeline.  The ideal candidate has already mastered data room population, data room management, Q&A log management, closing checklist development and oversight, and ancillary document preparation. 

The ideal candidate either has some experience supporting energy project development (e.g., site control, interconnection, permitting, and title), but this is not a requirement.  A candidate who does not have this development experience should demonstrate a sincere desire to quickly learn and develop proficiency in this area.

Requirements

PRIMARY DUTIES & RESPONSIBILITIES

  • Develop highly proficient understanding of near-term pipeline (e.g., names, locations, revenue types, applicable investment tax credit adders, site control status, permitting status, interconnection status)
  • Populate and manage data rooms for financings and sales
  • Quality control documents before uploading to data room (e.g., fully executed, properly dated, fully assembled, fully populated, correct parties, correct project)
  • Implement consistent file names per SolAmerica’s naming convention
  • Manage diligence Q&A logs (e.g., farming out questions to relevant subject matter experts, establishing timing needs, and following up as needed)
  • Coordinate with cross-functional subject matter experts as necessary
  • Distribute, track, and collect documentation and coordinate closing logistics internally
  • Schedule transaction tasks, track progress and manage calendars for financing and sales transaction deadlines
  • Develop and maintain proficiency in SolAmerica’s corporate governance software, including generating structure charts or similar reports to support transactions
  • Draft ancillary documents including first draft of officer's certificates, incumbency certificates, estoppels, and corporate resolutions
  • Produce and manage closing checklists
  • Manage nondisclosure agreement repository

  • A resourceful problem solver with the ability to operate autonomously and efficiently, as well as the ability to figure out solutions proactively and independently
  • Ability to pivot between responsibilities to meet tight deadlines and shifting demands and priorities
  • An entrepreneurial attitude and work ethic with a willingness to “roll up your sleeves” and get the job done in a fast-paced environment/rapidly growing business
  • Willingness to be flexible regarding the work schedule to support closings and to meet deadlines
