The MITRE Legal Office provides strategic, practical, and timely legal advice and support to all MITRE divisions in support of our mission. As a not-for-profit organization operating federally funded research and development centers (FFRDCs), MITRE works at the intersection of government, academia, and the private sector to solve complex national challenges in areas including defense, cybersecurity, healthcare, aviation, and homeland security.

MITRE's unique position as a trusted advisor to the federal government requires legal professionals who understand the complexities of government contracting, nonprofit governance, and the ethical obligations that come with serving the public interest. Our legal team partners with technical staff, program managers, and leadership to enable MITRE's important work while ensuring full compliance with applicable laws and regulations.

This position reports to the Associate General Counsel and is based in our McLean, Virginia, office.

Roles & Responsibilities:

  • Provide legal support across a range of practice areas including contracts, intellectual property, compliance, AI issues, nonprofit governance matters, and general legal counseling under guidance of senior attorneys.
  • Review, draft, and negotiate commercial and non-commercial agreements;
  • Advise on FFRDC-specific requirements, organizational conflicts of interest (OCI), and cost accounting standards.
  • Support MITRE's ethics and compliance program, including developing policies, providing training, conducting internal investigations, and advising on conflicts of interest.
  • Counsel on nonprofit governance matters, including board governance, tax-exempt status compliance, charitable solicitation requirements, and related regulatory obligations.
  • Analyze legal and regulatory issues and work with multidisciplinary teams to establish corresponding policies and decision frameworks;
  • Draft new and creative contract models accounting for company strategic vision, and regulatory and contractual requirements governing other company operations.
  • Identify and track legal risks, support mitigation efforts, and escalate complex or high profile issues.
  • Collaborate with internal stakeholders to support business initiatives and ensure legal compliance. Train internal stakeholders on relevant legal issues;
  • Conduct legal research and maintain awareness of relevant laws, regulations, and industry practices; and promote FFRDC roles and values through knowledge training and education.

Basic Qualifications:

  • Juris Doctor from accredited law school and licensed to practice in Virginia, or able to get limited corporate counsel admission.
  • Three to five years of relevant experience as a practicing attorney.
  • Ability to exercise independent judgement and effectively engage with staff, customers, and vendors at all levels on federal and commercial contracts, leases, and general legal matters.
  • Experience reviewing, drafting, and negotiating contracts.
  • This position requires a minimum of 4 days a week on-site

Preferred Qualifications:

  • Working knowledge of FAR and DFARS provisions.
  • Familiarity with government contracting and nonprofit governance.
  • Demonstrated experience with ethics and compliance programs, including policy development, training, and internal investigations.
  • Strong interest in science, technology, and national security issues.
  • Excellent customer service skills with ability to initiate and foster collaborative relationships both internally and externally;
  • Demonstrated ability to make informed decisions, manage workload, and meet deadlines.
  • Willingness to learn new legal areas relevant to MITRE's current and future work programs.
  • Strong verbal and written communication skills.
  • Ability to function productively in a fast-paced environment; and
  • Excellent attention to detail.

$149,200 - $186,500 - $223,800 Annual
