Job Description

This Capital Markets Paralegal role supports high-level legal work across complex corporate and securities transactions, including IPOs and public company matters. The position requires deep expertise in document preparation, due diligence, and transaction management within a fast-paced legal environment.

Their practice focuses on key sectors such as technology, energy, finance, and the life sciences.

Description

  • Manage complex capital markets and corporate projects independently with minimal supervision.
  • Support IPOs and public company transactions, including drafting checklists, attending diligence meetings, proofreading legal documents, and coordinating logistics.
  • Prepare and review a wide range of deal documentation-from SEC filings and disclosures to merger agreements, questionnaires, and financing statements.
  • Conduct legal and factual research, perform due diligence, and maintain secure, organized client materials.
  • Provide comprehensive pre-closing, closing, and post-closing assistance while preparing correspondence, audit responses, and working group materials.

Profile

  • Holds a bachelor's degree and ideally a paralegal certificate, with at least 8+ years of corporate paralegal experience.
  • Demonstrates strong technical skills, including Microsoft Office proficiency and familiarity with tools such as Westlaw, LexisNexis, PACER, SEC/EDGAR, CapMx, Carta, and ShareWorks.
  • Possesses substantial experience with IPOs and public company matters, including SEC regulations, numerical backup spreadsheets, ownership tables, and Section 16 reporting.
  • Exceptionally organized with strong written and verbal communication abilities, capable of handling multiple deadlines accurately and efficiently.
  • Brings a deep understanding of corporate and securities law and can conduct precise, thorough research while maintaining meticulous attention to detail.
