Job Description
A high‑growth organization is seeking a senior-level Contract Paralegal to provide hands-on support within a high-volume M&A environment, with additional responsibilities in corporate governance. The ideal candidate is an experienced, self-sufficient professional who can seamlessly integrate into an active deal pipeline and manage multiple concurrent workstreams from LOI through post‑close integration.

Description
M&A / Transactions:
- Support multiple simultaneous transactions from letter of intent through close.
- Manage data rooms and oversee diligence workflows.
- Maintain deal trackers, closing checklists, and status reports.
- Coordinate signatures, closing logistics, and post-close documentation.
- Assist with integration tasks following transaction close.
Corporate Governance:
- Handle ongoing entity management needs.
- Prepare and file UCC statements.
- Manage and maintain loan documentation.

Profile
A successful Contract Paralegal should have:
- 8-12+ years of experience as a corporate paralegal.
- Extensive hands-on experience supporting M&A transactions in high-velocity environments (e.g., roll-ups, private equity-backed platforms, or frequent acquisition models).
- Strong background in corporate governance and entity management.
- Experience in corporate law firms or in-house roles within private equity-backed companies strongly preferred.
- Familiarity with financial services or regulated industries is a plus.
- Must be highly organized, detail-oriented, and able to manage competing priorities.
