The firm is seeking an associate to join its Corporate Practice Group in the Scottsdale, Arizona office. This role is well suited for an attorney with an interest in corporate and business entities, securities law, mergers and acquisitions, venture-backed technology companies, and institutional investment, offering the opportunity to develop corporate expertise while working closely with experienced partners and sophisticated clients.

Job Details
RESPONSIBILITIESAssist with complex institutional investments, including review and negotiation of private equity, venture capital, hedge fund, private credit and SBIC fund limited partnership agreements and related instruments on behalf of commercial banks and governmental pension plansAssist with sell-side and buy-side middle market M&A transactionsRepresent venture-backed technology companies in various industry verticals, including AI, quantum computing, and other cutting-edge technologies in connection with entity formation, equity compensation, seed and venture capital financings and strategic partnershipsDraft and negotiate complex commercial contracts, including organizational documents, partnership agreements, LLC operating agreements, equity compensation plans and intellectual property licensingConduct due diligence investigations of companiesEnsure adherence to federal and state securities laws
QUALIFICATIONS: Skills and AbilitiesProficiency in drafting and negotiating a wide variety of corporate and other transaction documentsKnowledge of corporate and business entity lawsExcellent written and oral communication skillsAbility to manage multiple matters and tasks simultaneously and to complete tasks efficiently, effectively, and in a timely mannerAbility to apply critical thinking and possess a high attention to detailStrong organizational and analytical skillsSelf-motivated with a strong work ethic and ability to work effectively under pressureAbility and confidence to work independently while thriving in a collaborative, team environment
QUALIFICATIONS: Education and ExperienceMust be currently admitted to practice in Arizona with an active bar license in good standing or have an active bar license in good standing in another jurisdiction and be eligible to be admitted in Arizona on motion at applicant’s expenseMinimum of 3 years’ experience in corporations and other business entities, securities, and/or investments in a law firm or legal department preferredExcellent academic record
