Job Description

Edelman is seeking a Corporate Governance Paralegal to join our Legal & Compliance team in Chicago.This role will manage corporate governance, regulatory compliance, and legal operations across multiple jurisdictions. The ideal candidate is collaborative, intellectually curious, detail-oriented, and comfortable managing complex processes in a fast-paced environment.You will join a dynamic global Legal & Compliance team that partners closely with business leaders to enable responsible growth. Key Responsibilities:

Corporate Governance & Statutory Compliance

  • Manage andmaintainglobal corporate records, minute books, and entity management systems.

  • Coordinate and oversee domestic and international statutory filings, annual reports,anddirector/officerupdates..

  • Support entity formations, dissolutions, restructurings, and intercompany governance matters.

  • Partner with outside counsel andinternal stakeholdersto ensuretimelyandaccuratecompliance withcorporate requirements.

  • Track andmaintaincorporate calendars to ensure filing deadlines are met.

Project Management & Operational Support

  • Lead and manage cross-functional legal and compliance projects, including corporate clean-up initiatives, governance modernization, and regulatory reporting workflows.

  • Manageproject timelines, trackers, and reporting dashboards.

  • Drive process improvements to enhance efficiency, documentation, and risk mitigation.

  • Support internal audits and compliance reviews.

Legal & Compliance Team Support

  • Assistwith drafting and/or reviewing board resolutions, consents, and corporate documentation.

  • Support policy rollouts and internal governance communications.

  • Partnerwith Legal, Finance, Tax, HR, and regional business leaders.

  • Serve as a trusted operational partner to attorneys andcomplianceleadershipandmanagead hoc tasks as needed.

Basic Qualifications:

  • At least 3years of experience as a corporate paralegalat an agency,in-house,or at a law firm

  • Bachelor's degree or equivalent work experience

Preferred Qualifications:

  • Demonstratedexpertisein global corporate records management and statutory filings.

  • Experience with regulatory filings at the Federal and/or State level or willing to be trained on them to handle

  • Strong project management skills with the ability to manage multiple deadlines acrossjurisdictions.

  • Notary Public (or willingness to become a Notary upon hire).

  • Advancedproficiencyin Microsoft Office Suite (Word, Excel, PowerPoint, Outlook).

  • Experience using AI productivity tools such as ChatGPT and Microsoft Copilot to enhance workflow efficiency.

  • Exceptional organizational skills and attention to detail.

  • Strong written and verbal communication skills.

  • Proven ability to work independently while thriving in a collaborative, team-oriented environment.

  • Highdegreeof professionalism, discretion, and integrity.

$60,000 - $95,000 a year

An employee’s pay position within the salary range will be based on several factors including, but not limited to, relevant education, qualifications, certifications, experience, skills, seniority, geographic location, performance, travel requirements, revenue-based metrics, any contractual agreements, and business or organizational needs.
