Job Description

A growing Dallas law firm is seeking an experienced Corporate M&A Legal Assistant to join its corporate practice group. This position will primarily support attorneys handling M&A and complex corporate transactions, with additional support provided to the corporate finance team as needed.The ideal candidate will have 3–5 years of corporate transactional legal assistant experience, with strong hands-on experience supporting mergers and acquisitions.Responsibilities
  • Support attorneys with M&A and corporate transactions from inception through closing
  • Coordinate and assist with transactional closings
  • Prepare and organize closing documents, signature packets, and closing binders
  • Send and track documents for electronic signature through DocuSign
  • Maintain deal checklists and track transaction status, deadlines, and deliverables
  • Coordinate Secretary of State searches and filings
  • Order corporate certificates and other organizational documents
  • Manage attorney calendars and critical transaction deadlines
  • Schedule meetings and coordinate transaction-related communications
  • Assist with client correspondence
  • Provide support on corporate finance transactions as needed
  • Maintain organized electronic files and transaction documentation
  • Provide additional administrative and legal support to attorneys within the corporate group
Qualifications
  • 3–5 years of corporate transactional legal assistant experience preferred
  • Corporate M&A experience required
  • Corporate finance experience is a strong plus
  • Strong understanding of corporate transactions, closings, and related deadlines
  • Experience preparing closing documents, signature packets, and closing binders
  • Experience with DocuSign and document management systems such as iManage
  • Advanced proficiency with Microsoft Office and Adobe
  • Excellent organizational skills and attention to detail
  • Strong written and verbal communication skills
  • Ability to manage multiple transactions and competing deadlines
  • Proactive, team-oriented attitude and willingness to assist others
  • Ability to work effectively with attorneys and staff at all levels
