Job Description

Role Summary The Director of Tax, Compliance & Legal Affairs is a senior leader responsible for overseeing the company’s tax, regulatory, compliance, and corporate legal functions across real estate acquisitions, tax equity, financing, and asset management. This role ensures legal compliance, mitigates risk, and maintains strong internal controls across the organization’s real estate portfolio and investment structures. The Director oversees internal legal compliance, collaborates with outside counsel, and provides strategic guidance to the executive team while supporting complex real estate transactions and investment activities.Core Responsibilities:Tax & Regulatory Compliance
  • Ensure compliance with federal, state, and local tax regulations affecting real estate investments, development projects, and operating entities
  • Oversee compliance related to real estate tax incentives and development programs, including:*
    • Opportunity Zone investments
    • Solar Tax Equity structures
    • Property tax abatements and economic development incentives
  • Supervise preparation of tax documentation and audit-ready records related to real estate investments and ownership structures
  • Coordinate with outside tax advisors, auditors, and regulatory agencies regarding tax filings, compliance reviews, and inquiries
Corporate Governance & Legal Oversight
  • Maintain corporate governance and compliance across parent entities, real estate holding companies, and joint ventures
  • Oversee corporate records, operating agreements, partnership agreements, and board materials
  • Manage ownership structures, entity formations, and capitalization tables in coordination with outside counsel and finance teams
  • Advise executive leadership and the Board on legal, regulatory, and governance risks related to real estate operations, tax equity structures and investments*  
Contractual & Commercial Legal Compliance
  • Review and oversee compliance for key real estate and development agreements, including:*
    • Purchase and sale agreements (PSAs)
    • Joint venture and partnership agreements
    • Development and construction contracts
    • Property management and asset management agreements
    • Lease agreements and tenant contracts
    • Vendor master service agreements (MSAs
    • Establish contract templates, internal approval processes, and legal risk standards
  • Ensure agreements comply with applicable real estate, zoning, and regulatory requirements
Financing & Investor Legal Interface
  • Lead internal legal review of real estate financing transactions, including:*
    • Construction and permanent financing facilities
    • Mezzanine debt and preferred equity structures
    • Property refinancing, recapitalizations, and asset dispositions
  • Coordinate with outside counsel, lenders, investors, and financial advisors
  • Support investor diligence and transaction processes by maintaining accurate legal and corporate records
Risk Management & Legal Policies
  • Develop and maintain internal compliance policies and legal procedures across the real estate portfolio
  • Oversee responses to lender diligence, regulatory reviews, and internal audits
  • Manage insurance coverage, indemnities, and contractual risk-transfer provisions across development and operating properties
  • Monitor regulatory and legal changes impacting real estate development, ownership, financing, and operations
Qualifications & Experience
  • JD or equivalent law degree required
  • 7+ years of experience in tax, compliance, corporate law, tax equity or real estate legal functions within real estate development, investment, private equity real estate, or related industries
  • Strong knowledge of tax equity structures, real estate transactions, tax considerations, and corporate governance structures
  • Proven experience establishing compliance frameworks, internal controls, and risk mitigation strategies
  • Experience reviewing real estate acquisitions, development, leasing, and financing agreements
  • Strong analytical, organizational, and communication skill
