Job Description

Position Summary

Carlyle’s Global Funds Legal team provides well-reasoned, concise advice on current, proposed or anticipated business activities of Carlyle and our funds, balancing business-oriented goals with legal and reputational risk.

The attorney would be a part of the Legal team, providing legal support for the firm's wealth-focused investment products across all investment strategies. This role will advise on and support the launch and structuring of Carlyle’s wealth-focused funds, with a focus on new product development, fund formation, fund structuring, fund governance and operational matters across Carlyle’s wealth platform.

The attorney will advise on both private funds and registered investment products offered through the wealth channel and will work closely with business, product development, investor relations, finance, compliance and operations teams across the firm. The role will involve significant interaction with third-party service providers and distribution partners, including transfer agents, distributors, placement agents, selected dealers, administrators and other intermediaries supporting Carlyle's wealth business. 

Responsibilities include preparing and reviewing regulatory filings and offering documents and drafting, negotiating and interpreting limited partnership agreements, distribution agreements and related fund documents across both private funds and regulated ‘40 Act funds. The attorney will also work on other miscellaneous internal regulatory issues. This position will also act as a liaison between Carlyle and outside counsel.

This position can be in Washington, DC or New York, NY.

In-Office Requirements: 4 days per week in-office

Primary Responsibilities

  • Support legal coverage of Carlyle’s wealth platform, including private and ‘40 Act retail funds
  • Serve as the primary legal counsel for the offering of Carlyle’s funds to retail and wealth channels through distributors and placement agents
  • Support new product initiatives, including working with the product development team to launch wealth-focused fund vehicles
  • Lead the drafting, negotiation and ongoing maintenance of distribution agreements, transfer agency agreements, selected dealer agreements, placement agent agreements and related documents across private funds and ’40 Act funds
  • Interpret limited partnership agreements and other documentation relating to Carlyle’s wealth-focused funds
  • Advise on Investment Company Act matters relevant to private funds, including 3(c)(1) and 3(c)(7) exemptions
  • Partner with product, investor relations, finance, compliance and operations teams to address day-to-day legal and regulatory issues affecting the firm's wealth products, including investor onboarding, transfer processes, redemption requests and liquidity management.
  • Advise on SEC Marketing Rule compliance in connection with offering private funds
  • Assist with preparation and review of regulatory filings and offering documents
  • Draft and maintain appropriate policies and procedures for wealth-focused funds
  • Draft and review non-disclosure agreements, letter agreements, structure charts, resolutions and other documents 

Requirements

Education & Certificates

  • JD from a top-tier law school with strong academic performance, required
  • Active member of the bar of at least one state or the District of Columbia

Professional Experience

  • At least 5 years of professional working experience at a reputable law firm with a focus on fund formation
  • Experience working with transfer agents, distributors, placement agents and other wealth-channel intermediaries. Attention to detail, strong time management, organizational skills and logical/analytical approach to work are essential
  • Ability to think critically, spot issues and exercise good judgement, balancing business-oriented goals with legal and reputational risk
  • Ability to work effectively as part of a team

Benefits/Compensation

The compensation range for this role is specific to Washington, DC and New York, NY and takes into account a wide range of factors including but not limited to the skill sets required/preferred; prior experience and training; licenses and/or certifications.The anticipated base salary range for this role is $200,00 to $250,000.In addition to the base salary, the hired professional will enjoy a comprehensive benefits package spanning retirement benefits, health insurance, life insurance and disability, paid time off, paid holidays, family planning benefits and various wellness programs.
