About the Role
Turn/River Capital is seeking a Legal & Compliance Manager to support the firm’s legal, regulatory, and governance activities.
The position sits within the firm’s legal and compliance function and is responsible for helping manage day-to-day workflows across regulatory, compliance, contracting, and governance matters. The ideal candidate is highly organized, detail-oriented, and comfortable managing operational legal and compliance processes in a fast-paced private equity environment.
This role is well suited for someone who enjoys owning processes, coordinating across teams, and ensuring important details and deadlines are managed effectively. This is an individual contributor role, and highly cross-functional.
Key Responsibilities
Support execution of the firm’s SEC-registered investment adviser compliance program, including regulatory record keeping, marketing reviews, certifications, and annual compliance processes in conjunction with Head of Legal, CCO and the firm’s external compliance consultants.
Assist with compliance monitoring, documentation, and internal process coordination.
Maintain entity books and records, regulatory filings, and organizational documentation.
Support governance workflows related to fund entities, partnership agreements, and side letters.
Coordinate documentation and approvals across internal and external stakeholders.
Manage and help structure the firm’s commercial contracting workflow, including review and negotiation of routine agreements such as NDAs, vendor agreements, and service provider contracts.
Coordinate contract approvals, execution, and record keeping while maintaining organized documentation and contract lifecycle processes.
Design scaleable operational support across the legal function, including document management, workflow coordination, and process improvements.
Support internal processes related to AML/KYC, vendor diligence, and information security compliance.
Partner cross-functionally with Finance, Marketing, Platform, and other internal teams on legal and compliance-related matters.
Support special projects and initiatives for the Head of Legal as the firm continues to grow and evolve its legal and compliance processes.
Qualifications
Bachelor’s degree required.
5+ years of relevant experience in legal operations, compliance, or paralegal roles, either within a law firm or an in-house legal/compliance team at an investment manager, private equity firm, RIA, or financial services organization.
Experience supporting SEC/RIA compliance programs or working within a regulated investment management environment.
Familiarity with entity governance, regulatory filings, or fund documentation is strongly preferred.
Experience reviewing and managing routine commercial contracts and contract lifecycle processes.
Exceptional organizational skills with the ability to manage multiple priorities and deadlines in a fast-paced environment.
Strong attention to detail, sound judgment, and professional communication skills.
Location
San Francisco, hybrid work model.
Compensation
The annual base salary range for this role is $165,000 – $175,000, taking into account numerous variable factors that influence compensation decisions, including but not limited to experience, skill set, training, certifications, and organizational needs.
