Job Description

We are seeking an experienced Mergers & Acquisitions (M&A) Attorney to provide legal counsel on domestic and cross-border mergers, acquisitions, divestitures, joint ventures, and other strategic corporate transactions. The ideal candidate will have strong transactional experience, exceptional drafting and negotiation skills, and the ability to manage complex deals while collaborating with internal stakeholders and external advisors.

Key Responsibilities

  • Lead and manage all legal aspects of mergers, acquisitions, asset purchases, stock purchases, divestitures, and strategic investments.
  • Draft, review, and negotiate letters of intent, purchase agreements, disclosure schedules, ancillary agreements, and other transaction documents.
  • Conduct and oversee legal due diligence, identifying risks and advising on mitigation strategies.
  • Structure transactions to minimize legal and business risks while supporting commercial objectives.
  • Coordinate with outside counsel, investment bankers, accountants, tax advisors, and regulatory agencies throughout the transaction lifecycle.
  • Advise executive leadership on legal, regulatory, governance, and compliance matters related to corporate transactions.
  • Support post-closing integration efforts and ensure fulfillment of closing obligations.
  • Manage corporate governance matters, board approvals, and shareholder communications related to transactions.
  • Stay current on developments in corporate law, securities regulations, antitrust laws, and other legal issues affecting M&A activity.
  • Provide general corporate legal support as needed.

Qualifications

Required

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Active license to practice law in at least one U.S. jurisdiction.
  • 5+ years of experience handling mergers and acquisitions at a law firm or in-house legal department.
  • Demonstrated experience drafting and negotiating sophisticated transaction documents.
  • Strong knowledge of corporate law, contract law, and transactional practice.
  • Excellent analytical, negotiation, and communication skills.
  • Ability to manage multiple complex transactions simultaneously in a fast-paced environment.

Preferred

  • Experience with private equity, venture capital, or public company transactions.
  • Knowledge of securities laws, antitrust regulations, and cross-border transactions.
  • Experience in healthcare, technology, manufacturing, financial services, or other regulated industries.
  • Familiarity with corporate governance and compliance matters.
