YOUR NEXT OPPORTUNITY:

The Paralegal supports Rosendin’s Legal Department by managing a broad range of legal, corporate governance, contract management, claims, special projects, and pre-litigation and litigation matters. This role partners with attorneys, business leaders, project teams, risk management, and operations personnel to minimize legal risk, ensure compliance, support contract negotiations, and assist with dispute resolution activities. The successful candidate will be a highly organized legal professional with strong analytical skills and experience supporting a fast-paced corporate environment, preferably within the construction, engineering, or industrial sectors.

WHAT YOU’LL DO:

Corporate Governance

  • Maintain and administer corporate records, entity management files, resolutions, and governance documentation.

  • Coordinate annual filings, registrations, business licenses, and corporate compliance requirements.

  • Support preparation and maintenance of board, shareholder, and committee materials.

  • Assist with governance initiatives and ensure adherence to company policies and legal requirements.

Contract Management & Negotiations

  • Review, draft, revise, and administer a variety of commercial agreements including customer contracts, subcontracts, vendor agreements, master service agreements, consulting agreements, non-disclosure agreements, and other legal documents.

  • Support attorneys and business stakeholders during contract negotiations.

  • Track contract deliverables, amendments, renewals, and expiration dates.

  • Maintain contract management systems and legal document repositories.

  • Collaborate with project teams, procurement, and management to ensure proper contract execution and compliance.

Claims & Pre-Litigation Support

  • Assist in managing claims and disputes (including those proceeding to litigation) arising from business operations and projects.

  • Investigate claims and gather, organize, and analyze supporting documentation.

  • Prepare summaries, timelines, chronological, and reports for legal review.

  • Coordinate responses to demand letters, notices of claim, and other legal correspondence.

  • Support legal hold processes and document preservation efforts.

  • Assist attorneys with pre-litigation strategy and dispute assessments.

  • Facilitate the exchange of information and materials with outside counsel, in the event outside counsel is engaged to assist with the matter.

Litigation Support

  • Coordinate with outside counsel on litigation and dispute matters.

  • Support discovery processes, document production, records collection, and records organization.

  • Manage case files, litigation databases, and legal matter tracking.

  • Monitor case deadlines and legal spending.

  • Assist with witness interviews, fact gathering, and case preparation activities.

Compliance & Legal Operations

  • Conduct legal and regulatory research as requested.

  • Support compliance initiatives, policy development and management, and internal training efforts.

  • Monitor legal and regulatory developments impacting company operations.

  • Assist with legal process improvements and implementation of best practices.

  • Support the Legal Department with special projects and operational initiatives.

Stakeholder Collaboration

  • Partner with Risk Department, Operations, Finance, Human Resources, Procurement, Subcontracts, and Project Management teams to support business objectives.

  • Build strong working relationships with internal clients and external counsel.

  • Provide responsive legal support while balancing business needs and risk management objectives.

WHAT YOU’LL NEED TO BE SUCCESSFUL:

  • Strong knowledge of corporate governance, contract administration, contract negotiations, claims management, and legal procedures.

  • Experience reviewing commercial and construction-related agreements.

  • Understanding of litigation processes, pre-litigation activities, and dispute resolution.

  • Knowledge of regulatory compliance and corporate record management.

  • Strong analytical, critical thinking, and problem-solving skills.

  • Exceptional attention to detail and organizational abilities.

  • Ability to manage multiple priorities and deadlines in a fast-paced environment.

  • Strong written and verbal communication skills.

  • Ability to handle confidential and sensitive information with discretion.

  • Proficiency with Microsoft Office Suite and legal or contract management systems.

WHAT YOU BRING TO US:

  • Associate’s degree, bachelor’s degree, or Paralegal Certificate from an accredited institution in Paralegal Studies, Legal Studies, Business Administration, or a related field.

  • Minimum of 5 years of progressive paralegal experience, preferably supporting in-house legal departments, construction, engineering, infrastructure, or commercial operations.

  • Experience supporting corporate governance and entity management activities.

  • Experience reviewing, drafting and managing commercial contracts.

  • Experience supporting claims administration, dispute resolution, and litigation matters.

  • Construction industry experience preferred.

  • Familiarity with Contract Lifecycle Management (CLM) systems and legal matter management software preferred.

  • Paralegal Certification (NALA, NFPA, or equivalent) preferred.

TRAVEL:

  • Up to 10%

WORKING CONDITIONS:

  • General work environment – sitting for long periods, standing, walking, typing, carrying, pushing, bending. Work is conducted primarily indoors with varying environmental conditions such as fluorescent lighting and air conditioning.

  • Noise level is usually low to medium; it can be loud on the job site.

  • Occasional lifting of up to 30 lbs.
