Job Description
Key Responsibilities
Transaction Support
- Support legal team on acquisitions, dispositions, financings, joint ventures, and other strategic transactions.
- Organize and maintain transaction documentation and closing files.
- Coordinate signature processes and execution of legal documents.
- Assist with legal due diligence, document review, and data room management.
- Track closing deliverables, post-closing obligations and other key project deadlines.
Contract Administration
- Draft, review, and manage routine legal agreements, including, NDAs, service agreements and other operational contracts.
- Maintain contract databases and monitor key dates, renewals, and obligations.
- Support implementation and administration of contract lifecycle management processes.
Regulatory & Compliance Support
- Assist with preparation and filing of regulatory and corporate compliance documents.
- Support legal team with compliance initiatives, policies, and training programs.
- Track licensing, registrations, and periodic filing requirements.
Outside Counsel Management & Litigation
- Assist with outside counsel engagement and invoice management.
- Interface with outside counsel on transactions.
- Manage document collection and production efforts.
- Maintain and administer litigation and claims tracking systems.
Legal Operations
- Maintain legal department templates, forms, precedent and knowledge management resources.
- Manage electronic and physical legal files.
- Track legal projects and deadlines.
- Assist with implementation and optimization of legal technology solutions.
- Support special projects and strategic initiatives as assigned.
- Assist with legal entity formation and management.
Qualifications
- Bachelor's degree from an accredited institution.
- 2-5 years of paralegal experience, preferably in-house, at a law firm, or within the real estate, private equity, asset management, or financial services industries.
- Strong understanding of corporate governance and legal documentation.
- Experience supporting complex transactions and managing large volumes of documents.
- Excellent organizational, project management, and communication skills.
- Proficiency with Microsoft Office Suite and legal document management systems.
This job is 5 days/week in office (Greenwich, CT).
