About the Role

We're looking for a seasoned professional to lead legal support operations and governance processes within a corporate Law Department. This is a high-visibility role that goes well beyond a traditional paralegal seat, you'll act as an embedded partner across securities law, corporate governance, and legal operations, exercising independent judgment on complex, enterprise-level matters.

Sitting alongside the Securities and Corporate Governance teams, you'll partner directly with two attorneys on the Corporate and Securities team and serve as a key point of coordination for legal leadership, internal clients, and cross-functional stakeholders. Day to day, that means owning select securities filings, preparing board and committee materials, and providing meaningful support to the Corporate Secretary's Office, all while driving process improvements that strengthen efficiency, compliance, and reporting.

What You'll Do

  • Manage significant securities filings — proxy statements, Section 16 filings, and EDGAR Next account administration — and keep related compliance processes running, including calendars, compliance plans, and coordination with outside service providers and advisors.
  • Lead the planning and execution of annual shareholder meetings and shareholder engagement efforts, from outreach and meetings through documentation and engagement metrics.
  • Work hand-in-hand with the Corporate Secretary's Office on board matters such as meeting materials, minutes, and annual independence reviews; serve as secretary for select management-level committees; and stay ahead of developments and trends in securities law and corporate governance.
  • Own the governance of template libraries, including version control, annotations, and usage notes.
  • Take on additional responsibilities as the team's needs evolve.

What You'll Bring

  • A bachelor's degree in a relevant field, or an equivalent mix of education and experience.
  • Roughly 10 years of related experience; hands-on paralegal experience preferred.
  • Active paralegal certification (required).
  • Southern California residency, or willingness to relocate upon hire.
