Job Description

Paralegal or Legal Assistant

The corporate law firm of Kennedy Sutherland LLP is seeking a talented legal assistant or paralegal for its team in San Antonio, Texas. The firm's practice is corporate, banking, finance, and securities related and will involve direct support of the attorneys on various legal matters. The candidate will work across all practice areas, including business formation, corporate governance, lending, tax credit financings, mergers and acquisitions, securities offerings, and other general business and regulatory matters.

Responsibilities:

  • Support attorneys through all stages of the lending process, including lien searches, UCC filings, reviewing credit memos, preparing loan documents, managing closing checklists, and handling closing process
  • Assist in business formation process and other corporate governance matters
  • Compile and review due diligence materials
  • Manage and prioritize multiple matters and competing deadlines
  • Conduct legal research
  • Facilitate new client intake processes, including preparing engagement letters
  • Prepare, edit, and review legal documents across all practice areas
  • Respond to incoming phone calls
  • Manage the firm's website, client alerts, and social media accounts
  • Attend events and conferences on behalf of the firm
  • Assist with scheduling and monitoring deadlines
  • Monitor office supplies, drinks, and snacks
  • Perform other clerical and administrative tasks as necessary

Experience:

  • 3+ years of prior lending or corporate and securities paralegal experience (in either a law firm or corporation) preferred.
  • Bachelor's Degree and/or Paralegal Certificate preferred.
  • Proficiency in handling commercial lending transactions, including loan documentation and diligence process, is preferred.
  • Significant and recent experience with M&A transaction closings and corporate law.
  • Significant and recent experience with securities transaction closings (federal and state securities law, including Form D and blue sky).
