We are searching for the best talent for a Privacy Manager, Corporate Functions Legal & Contracting to be based in Tampa, FL. An internal pre-identified candidate for consideration has been identified. However, all applications will be considered.
Purpose: This role’s primary focus is hands‑on contract negotiation and redlining for all Privacy-related escalations from Procurement, Privacy, Legal, InfoSec and the business. Additionally, the Privacy Manager will help to design and build a contracting Center of Excellence (COE) that standardizes privacy language, maps global and regional (US, EMEA, ASPAC, LATAM) contracting data flows, supports legal research on global privacy requirements, and further partners with Procurement, Privacy, Legal, InfoSec and the business to reduce risk and accelerate contracting.
The Privacy Manager will lead day-to-day negotiation and redlining of privacy and data-protection clauses across customer, vendor, SaaS, and commercial agreements. They will support the creation and operationalization of Privacy contracting clause libraries, template agreements, SOPs, playbooks, and SLAs for privacy reviews. The Privacy Manager will conduct legal research and prepare concise internal guidance/memos on novel contracting/privacy issues and escalate complex matters to Privacy Contracting leadership, as needed.
You will be responsible for:
- Lead and execute negotiations of privacy and data protection terms in a wide range of commercial agreements (DPA, BAA, DUA, SaaS, MSAs, vendor agreements, partner agreements, clinical, etc.).
- Draft, review and redline privacy-related contract clauses (data processing terms, security, subprocessor controls, breach notification, audit rights, cross‑border transfers, data subject rights, retention/destruction, indemnity/limitation language).
- Provide pragmatic risk-based recommendations and fallback positions to business stakeholders (Procurement, Privacy, Legal, InfoSec and the sectors)to balance legal/privacy risk and commercial objectives.
- Maintain negotiation playbooks and clause libraries for frequent contract types; lead approvals for deviations from standard positions.
- Escalate high-risk issues and seek legal counsel when necessary; prepare negotiation summaries and rationales for Privacy Contracting leadership.
- Support in the design and implementation a Contracting Center of Excellence focused on privacy and data protection across the contract lifecycle.
- Assist in developing standardized clause libraries, template agreements, checklists, SOPs, contract review SLAs, and playbooks for common scenarios.
- Deliver training, legal enablement sessions, and office-hours for Procurement, Privacy, Legal, and sector teams.
- Define and track COE adoption metrics and continuous improvement cycles.
- Help map contracting-related data flows end-to-end (what personal data is collected, shared, processed, stored, where it flows, and why) to support contractual controls and audits.
- Stay current on global privacy laws and regulatory guidance (e.g., GDPR, CCPA/CPRA, LGPD, PDPA, PIPL, UK GDPR, cross-border transfer mechanisms) and translate implications into contract requirements and playbooks.
- Conduct legal research to evaluate novel issues, prepare memos/opinions, and present findings to Privacy Contracting leadership and Corporate Functions team.
- Partner with external counsel for jurisdictional research where required.
Qualifications/Requirements:
- A Law degree.
- 3-5 years of related experience.
- Contract negotiations, preferably privacy.
- Strategic Account or High-Value Contract Negotiations preferred.
- Supplier Contracting Experience preferred.
- Team player with collaborative skills preferred.
- Communicative, self-starter with strong interpersonal, analytical and organizational skills preferred.
- Strong ethical behavior, with the ability to remain impartial and report all non-compliance to Director preferred.
- Ability to independently develop solutions that generate value through partnerships while ensuring compliance preferred.
- Experience in MedTech/Pharmaceuticals sectors a plus.
- Mindset of curiosity and interest in creative solutioning preferred.
