Job Description
We are seeking a mid level in house attorney to lead drafting and negotiation of highly complex commercial agreements and intellectual property agreements such as Joint Development Agreements (JDAs), collaboration agreements and IP licensing agreements.
The ideal candidate should have extensive experience working for global manufacturers with IP heavy R&D and product portfolios. He/she should combine strong business judgment, a strategic mindset with deep contracting and IP expertise comfortable driving complex negotiations, advising cross functional stakeholders up and down the organization, and standardizing templates/playbooks to balance accelerating transactional velocity with containing risk.
Candidates with additional experience in one or more of the following legal specialties is preferred:
- Intellectual Property (particularly IP licensing)
- Litigation (particularly IP litigation)
- Employment Law
- Labor Law
- Antitrust
- Trade Compliance
- Mergers & Acquisitions
- Regulatory (particularly regulations of the chemical industry)
Primary Focus
- Customer facing contracts: supply agreements, consignment arrangements, sampling agreements, standard T&Cs, disclaimers.
- Supplier/vendor facing contracts: raw material supply agreements, toll or contract manufacturing arrangements, SaaS subscriptions, software licenses, professional services agreements.
- IP related agreements: Joint Development Agreements (JDAs), collaboration agreements, technology licensing, IP ownership and assignment, confidentiality agreements, and IP commercialization arrangements.
- Support for M&A agreements: primary transaction documents, IP licenses and transfers (both in connection with M&A activities and standalone IP transactions)
Key Responsibilities
- Lead negotiations of customized and sophisticated commercial agreements with customers, suppliers and other counterparties.
- Draft and negotiate IP agreements, in consultation and with support of internal and external IP resources.
- Educate stakeholders on key contractual, commercial and operational risks and advise them on balancing such risks against key business goals.
- Interpret and diligence existing agreements and provide legal advice to stakeholders.
- Maintain and update contract templates and playbooks.
- Train other functions and teams on key components of various types of contracts.
Qualifications
- J.D. from accredited law school; bar admission in good standing to at least one US state
- 5 to 8 years in commercial contracting and/or IP transactions, including negotiating JDAs, collaboration agreements, and IP licensing terms.
- Exceptional drafting, negotiation and legal analytical skills.
- Ability to independently manage complex transactions with minimal supervision.
- Ability to clearly and concisely translate legal analysis into actionable advice for a wide variety of stakeholder audiences.
- Ability to craft and communicate innovative solutions that balance legal risk along with the financial, operational, strategic and innovation needs of the company.
- Comfort working across time zones and with multi jurisdictional counsel.
- Provide legal guidance, supervision, and support to junior attorneys, paralegals and legal support staff.

The compensation range that is described below is the possible base pay compensation that the company believes in good faith that it will pay for this role at the time of posting based on job grade for the position. Individual compensation within this range is based on many factors such as years of experience etc. so the company might pay more or less than the posted range and it is understood that this range may be modified in the future.
In addition to base compensation, MonoSol provides a yearly incentive compensation bonus, a profit sharing bonus when eligible, a comprehensive benefits package including medical, dental, vision insurances, short term disability, long term disability, accidental death and dismemberment, term life insurance, voluntary term life insurance, transit flexible spending account (if applicable), employee assistance program, identity theft protection, 401k and paid time off (vacation and sick days).
Compensation range : $140,000.00 - $190,000.00
Incentive Compensation Bonus Target : 15%
Paid time off amount : 15 days
