Department Description Carlyle AlpInvest is a leading global private equity investor with over $83 billion of assets under management as per December 31, 2024. Approximately 75% of these funds are invested in private equity funds globally, including secondary transactions, with the remainder invested directly in companies as a co-investor in Europe, North America and non-traditional markets. The company has approximately 220 employees based primarily in Amsterdam, New York and Hong Kong. AlpInvest is part of The Carlyle Group. Position Summary Carlyle AlpInvest is looking for a Senior Legal Counsel (minimum of 6 - 8 years qualified). The AlpInvest Legal team in Amsterdam currently is a small team that consists of two lawyers. The Amsterdam based Legal team is primarily responsible for helping the Amsterdam, London and Hong Kong based deal teams with making a variety of primary, co- and secondary investments both in Europe and Australia and responsible for a wide range of semi-compliance related functions. Adjacent activities encompass, deal related KYC requirements to be met and side letter negotiations, annual accounts filings for Dutch BV entities, quarterly reporting on contingent liabilities (litigation), maintaining a record of all AlpInvest Partners B.V. outsourcing arrangements, including but not limited to any IT outsourcing related agreements and keeping a record of material contractual obligations in respect of distribution agreements entered into by AlpInvest Partners B.V. as part of Carlyle AlpInvest's ongoing fundraising efforts in respect of various Luxembourg based retail funds. In this respect the Amsterdam based Legal team closely works together with the Tax Counsel and the Compliance Team as well as multiple other teams within AlpInvest. The Senior Legal Counsel will serve as one of the deal lawyers in the Amsterdam Office. This person will work on a substantial number of secondary investments, co-investments and primary investments primarily executed in Amsterdam, London and Hong Kong and provide all related legal support in relation thereto. In addition, the Senior Legal Counsel will be responsible for maintaining the required Outsourcing Register of AlpInvest Partners B.V.'s under its Services Provider Policy and assist with the negotiation of various distribution agreements (to be) entered into by AlpInvest Partners B.V. as part of its ongoing fundraising efforts in relation to both existing and newly to be raised (Luxembourg based) retail funds. Furthermore, the Senior Legal Counsel will assist with keeping track of material legal obligations in respect of such distribution agreements by way of one or more IT contract tools. Finally, the Senior Legal Counsel will provide guidance on day-to-day legal matters. The Senior Legal Counsel will also be asked to assist the Legal team in New York. The Senior Legal Counsel will report to the Chief Legal Officer and will collaborate with the other members of the Legal & Compliance team as well as the Investment Professionals, Portfolio & Risk Analysis, Investment & Financial Accounting, Cash Management, and Tax teams within AlpInvest. Additionally, this person will have significant interaction with our external lawyers.Key job functions include: Deal Related Responsibilities (70% of time) Review and negotiate transaction documentation including purchase and sale agreements, contribution agreements, limited partnership agreements, credit agreements and side letters with help of outside counsel Provide guidance to deal teams with respect to legal and business issues Provide guidance with respect to deal structures Review term sheets and bid letters Respond to AML/KYC requests Coordinate with Investment Accounting, Cash Management, Compliance and Portfolio & Risk Analysis teams to consummate deals Assist with fund formation process for co- and/or secondary investors on an ad-hoc basis Manage external counsel General Corporate Responsibilities (15% of time) Maintain existing investments (e.g., review requests for consent, election notices and amendment requests) Assist with advising internal groups with respect to legal questions regarding AlpInvest managed funds and SMAs Assist with regulatory (competition) filings Review and negotiate various third-party contracts including confidentiality agreements and non-reliance letters Specific Responsibilities (15% of time) Assist with annual account filings for Dutch BV entities through EY webportal; Keep record of all outsourcing agreements and/or relations of AlpInvest Partners B.V. and include these in an Outsourcing Register; Negotiate any contracts to be entered into with Delegates of AlpInvest Partners B.V. Assist with the negotiation of and keeping record of all distribution agreements entered into by AlpInvest Partners B.V. as part of its ongoing fundraising efforts through any Luxembourg SICAV's (to be) formed targeting retail investors; Assist with any DORA compliance related matters, where needed.Education & Certificates Master's Degree in Private or Corporate Law Admitted to Dutch Bar (preferably) or Luxembourg Bar or equivalent Professional Experience Minimum of 6 - 8 qualified and having working experience at an international law firm (preferably in The Netherlands or Luxembourg) or an asset firm with broad experience in M&A, general corporate law and preferably also having gained proper experience in general contract law and regulatory law in The Netherlands or Luxembourg Experience with secondary transactions (preferably) and primary (fund) investments, co-investments and having an excellent understanding of basic Dutch contracts law · Basic understanding of regulatory framework that applies to AlpInvest (AIFMD) in The Netherlands and (preferably) Luxembourg Competencies & Attributes Benefits/Compensation The compensation range for this role is specific to Amsterdam and takes into account a wide range of factors including but not limited to the skill sets required/preferred; prior experience and training; licenses and/or certifications.
