General Summary:
Thepositionprovidesadvancedparalegalsupportto the Governance and Transactions Teamfora variety of corporate workstreams with a focus on global subsidiary maintenance, governance and contracting - reporting to the Assistant General Counsel.
Key Duties and Responsibilities:
Partner with the Corporate Governance and Disclosures Team in all governance matters and management of Vertex’s legal entities, assuming significant independent responsibility for such matters.
Manage the board meetings for all international subsidiaries with primary responsibility for all related matters.
Manage and liaise with external local counsel to draft/review documents related to entities, including board and shareholder meeting minutes and other compliance documentation.
Draftandreviewadvanced/complexlegaldocumentssuchascorporate governance documents, correspondence and regulatory filings.
Performhigh-levellegalresearchandanalyzerelevantstatutes,decisions,codes,etc.,providing findings and advice to Counsel.
Withinestablishedcompanyandlegalrequirements,negotiateandreview commercialcontracts and related documents.
Interpretexistingcontractsandadviseoncontractinterpretationissues,as needed.
Assistwithtransactionsandrelatedlogistics,asneeded,withrespecttoanynecessaryfilings.
Supportongoingcompany-wideinitiatives,includingpolicydevelopment,templatestandardization and adoption of contract-related technologies.
Communicateeffectivelyandinatimelymannerwithinternal stakeholdersonlegal-related matters, including proactively educating clients on review and submission processes.

Education and Experience:
A Bachelor's degree, Associate's degree or paralegal certification
Typically requires 6 years of corporate paralegal experience, or the equivalent combination of education and experience
Corporate governance experience, including support for global subsidiary management
Pay Range:
$96,000 - $144,000Disclosure Statement:
The range provided is based on what we believe is a reasonable estimate for the base salary pay range for this job at the time of posting. This role is eligible for an annual bonus and annual equity awards. Some roles may also be eligible for overtime pay, in accordance with federal and state requirements. Actual base salary pay will be based on a number of factors, including skills, competencies, experience, and other job-related factors permitted by law.
