Key Responsibilities:

• Assist in the formation, maintenance, and dissolution of corporate entities
• Manage transaction closings and create associated closing materials
• Compile legal opinion letters and gather supporting documentation
• Create and submit corporate governance and securities-related filings
• Issue share certificates and track equity ownership tables and stock option documentation
• Investigate state securities law compliance matters and submit necessary state-level filings
• Provide backup support across the corporate department as needed

We are seeking paralegals with 5+ years of transactional experience in private equity, capital markets, and/or mergers & acquisitions.
