About the Opportunity: We are partnering with a reputable law firm in Orange County seeking a skilledTransactional Attorney to join their growing practice. This is an excellent opportunity for an attorney with a strong background in business transactions, real estate, or corporate law to work with a diverse client base and handle a wide range of sophisticated transactional matters.Key Responsibilities:
- Draft, review, and negotiate various business and commercial contracts, including purchase agreements, partnership agreements, leases, and corporate governance documents
- Provide legal counsel on M&A, corporate structuring, real estate transactions, and other business-related deals
- Conduct legal due diligence for corporate and real estate transactions
- Assist with entity formation, compliance, and corporate governance matters
- Collaborate with clients to identify legal risks and develop practical solutions that align with business goals
- Stay up to date on relevant state and federal regulations impacting business and real estate transactions
- Active membership with the California State Bar
- 3+ years of transactional law experience, preferably in business, corporate, or real estate transactions
- Strong drafting and negotiation skills
- Experience working directly with business owners, stakeholders, or real estate professionals
- Excellent attention to detail and ability to manage multiple projects simultaneously
- Strong communication and client-relations skills
- Mergers & Acquisitions (M&A)
- Real Estate Development and Finance
- Corporate Governance
- Contract Disputes Resolution (non-litigation)
- Work with an established, highly regarded law firm in Orange County
