GENERAL PURPOSE OF THE JOB: The Senior Paralegal provides substantive day-to-day paraprofessional support for the company's legal team with minimal/appropriate oversight on a wide range of general corporate legal matters including third-party vendor contracts, litigation and subpoenas, and insurance retail operations. ESSENTIAL DUTIES AND RESPONSIBILITIES: Assist with reviewing, analyzing, and drafting various agreements, including services agreements, SaaS agreements, distribution agreements, and confidentiality agreements. Partner with the vendor procurement team to implement and maintain contract management system. Assist with diligence and risk assessment related to prospective vendors. Analyze and respond to subpoenas, litigation and other inquiries/requests for information received by the company; identify, compile and organize materials in response to subpoenas and discovery requests. Perform litigation case management, including managing engagement of outside counsel, maintaining accurate case files, calendaring cases and tracking litigation deadlines, managing the legal billing process, and supporting related legal holds. Conduct factual and basic legal research, including identifying relevant case information, case law, statutes, regulatory guidelines and bulletins, legal articles and other writings. Analyze and respond to requests from internal company representatives related to insurance company operations and the administration of annuity contracts, including legal and compliance expectations, annuity product terms, and distribution and producer agreement terms. Review and interpret basic policyholder legal documents such as trusts, powers of attorney, and guardianships. Maintain legal team calendar for reporting, team meetings, deadlines, and monitor compliance. Complete basic clerical tasks, including data entry, photocopy/scan/fax, and mail management. Assist with document retention activities. Develop systems and procedures to improve efficiency with this role and across the Legal department. Perform other related paralegal and administrative work as assigned. SUPERVISORY RESPONSIBILITIES: None. EDUCATION AND/OR EXPERIENCE: Associates Degree in related field of study; plus five (5) or more years of related corporate paralegal experience; or equivalent combination of education and/or experience. Financial Services/Insurance Industry related experience preferred. CERTIFICATES, LICENSES, PROFESSIONAL DESIGNATIONS: None KNOWLEDGE, SKILLS AND ABILITIES: Strong communication, organizational, and analytical skills. Experience reviewing, analyzing, and drafting contracts. Substantial understanding of practices and procedures related to subpoenas, disputes, and litigation. Ability to read, analyze and interpret legal and other documents and to communicate clearly and succinctly. Ability to follow complex instructions and exhibit strong attention to detail. Proficient in the use of Microsoft Office Suite, including Word, Excel, and Outlook. Experience conducting legal research using Westlaw, LexisNexis, Bloomberg, or similar database. Ability to multi-task and effectively prioritize various assigned tasks. Ability to work cooperatively and successfully with co-employees within the company as well as customers and other outside third parties. Ability to work well under pressure and to effectively deal with difficult and possibly adversarial situations. Self-motivated and efficient with good business judgment. GENERAL PURPOSE OF THE JOB:

The Senior Paralegal provides substantive day-to-day paraprofessional support for the company's legal team with minimal/appropriate oversight on a wide range of general corporate legal matters including third-party vendor contracts, litigation and subpoenas, and insurance retail operations.

ESSENTIAL DUTIES AND RESPONSIBILITIES:

  • Assist with reviewing, analyzing, and drafting various agreements, including services agreements, SaaS agreements, distribution agreements, and confidentiality agreements.
  • Partner with the vendor procurement team to implement and maintain contract management system.
  • Assist with diligence and risk assessment related to prospective vendors.
  • Analyze and respond to subpoenas, litigation and other inquiries/requests for information received by the company; identify, compile and organize materials in response to subpoenas and discovery requests.
  • Perform litigation case management, including managing engagement of outside counsel, maintaining accurate case files, calendaring cases and tracking litigation deadlines, managing the legal billing process, and supporting related legal holds.
  • Conduct factual and basic legal research, including identifying relevant case information, case law, statutes, regulatory guidelines and bulletins, legal articles and other writings.
  • Analyze and respond to requests from internal company representatives related to insurance company operations and the administration of annuity contracts, including legal and compliance expectations, annuity product terms, and distribution and producer agreement terms.
  • Review and interpret basic policyholder legal documents such as trusts, powers of attorney, and guardianships.
  • Maintain legal team calendar for reporting, team meetings, deadlines, and monitor compliance.
  • Complete basic clerical tasks, including data entry, photocopy/scan/fax, and mail management.
  • Assist with document retention activities.
  • Develop systems and procedures to improve efficiency with this role and across the Legal department.
  • Perform other related paralegal and administrative work as assigned.

EDUCATION AND/OR EXPERIENCE:

Associates Degree in related field of study; plus five (5) or more years of related corporate paralegal experience; or equivalent combination of education and/or experience.

Financial Services/Insurance Industry related experience preferred.
