This position is an opportunity for a talented commercial transactions attorney with extensive experience in the healthcare industry to serve in an impactful, business-oriented in-house legal role supporting ZOLL Itamar's sleep diagnostics business and specifically the sale of ZOLL Itamar's medical devices and services, software solutions and diagnostic testing services as well as the management of its varied product and service vendors. Serving as a critical member of a dynamic team, Counsel will partner with the Management, Sales, Operations and Marketing teams to review, negotiate and draft a wide range of commercial sales and privacy related agreements as well as provide legal advice on a broad range of commercial and corporate issues. The position supports a critical function of the business with visibility throughout the business and requires meaningful judgment, discretion, time management and organizational intelligence. Counsel will collaborate with internal clients in various functional areas, including Sales, Management, Marketing, Operations, Finance, Digital Health and Compliance. This role will help drive commercial success as well as operational efficiency of the business. The role will be initially reporting to ZOLL Itamar's General Counsel, however reporting may be subject to change after onboarding. Essential Functions Draft and Negotiate Contracts – Draft, review and negotiate all forms of contracts and third-party agreements with customers, vendors and partners. Examples include a range of customer sales agreements (e.g., customer sales agreements for medical device, related services, SaaS and software licensing; service level agreements, ASP customer agreements, reseller agreements, partnership agreements and purchase order terms and conditions), privacy and data protection agreements (e.g., business associate agreements, data processing agreements and information security agreements) and vendor and service provider agreements. The predominant and primary focus of this role will be contract negotiation. Advise the Business – Provide timely, high-quality analysis and pragmatic advice on legal and business issues to internal clients. Provide proactive legal and business counseling on a broad range of topics, including, general commercial law, contract interpretation, privacy regulations, healthcare compliance regulations. Support Corporate Initiatives – Assist with corporate-level initiatives or other assigned duties. Required/Preferred Education and Experience Graduate of an accredited law school and licensed to practice law in the employee’s state of residence required 2 - 5 years of legal experience as a dedicated commercial transactions attorney with preference for individuals having a background in the medical device and healthcare software solution space Experience as in-house counsel or with a law firm dedicated in supporting an internal sales organization is strongly preferred Knowledge, Skills and Abilities Exceptional oral and written communication and interpersonal skills, including the ability to actively listen Ethical integrity and strong analytical skills Excellent business judgment and sound decision-making ability Ability to interface professionally and effectively with all levels of personnel internally and externally Strong ability to draft and negotiate legal documents, with attention to detail Proactive, organized, self-motivated and self-disciplined work ethic, with the ability to re-prioritize in “real time” Ability to manage multiple priorities with a “can do” attitude and collegial, collaborative tone Professional demeanor, high competency and positive attitude Working knowledge of healthcare compliance regulations (e.g., state and federal anti-corruption, fraud, waste and abuse, anti-kickback, corporate practice of medicine, Sunshine and Stark laws) and privacy regulations (e.g., HIPAA, GDPR, CCPA and CCPRA) is preferred Ability to perform the essential duties and responsibilities of the position, as described above and as modified from time to time based on ZOLL Itamar’s diverse and evolving needs Experience as in-house counsel or with a law firm dedicated in supporting an internal sales organization is strongly preferred Physical Demands The physical demands described here are representative of those that must be met by an employee to successfully perform the essential functions of this job. RESPONSIBILITIES Review and prepare legal documents such as pleadings, motions, notices, and subpoenas using office software applications Proofread and cite-check legal briefs, memoranda, and other legal documents Conduct basic factual research on individuals/entities and perform basic legal research on statutes, regulations, and case law Assemble exhibits and document compilations for use in interviews, depositions, hearings, and trials File pleadings using the court’s electronic filing system Redact documents prior to filing or production Collaborate with AUSAs, paralegals, and litigation support staff to manage discovery in civil cases Open, maintain, and close litigation case files and prepare them for storage Track court deadlines including filings, hearings, and trials using calendar systems Schedule online and in-person meetings, appointments, conferences, and interviews for AUSAs Arrange travel including booking transportation and accommodations and preparing necessary documentation Sort, review, and route incoming correspondence to AUSAs or other staff based on understanding of office functions Receive visitors and answer or return telephone calls on behalf of AUSAs REQUIRED SKILLS/EXPERIENCE Strong communication and interpersonal skills with a courteous and tactful demeanor Proficiency in Microsoft Office Suite and database systems for document preparation and data retrieval Ability to establish, maintain, and organize case or project files Attention to detail in reviewing and editing documents for typographical errors Capability to schedule appointments, track deadlines, and maintain accurate calendars Experience responding to inquiries regarding case status using database information Skill in obtaining and sharing information with external agencies related to casework Ability to conduct factual and legal research to support case development EDUCATION / CERTIFICATIONS Associates degree in a related field or paralegal certificate - preferred LOCATION  Lexington, KY 40507 CLEARANCE Must pass applicable DOJ background investigation for this position CLIENT United States Attorney’s Office, Eastern District of Kentucky (USAO-EDKY) TRAVEL Travel may be required WORK HOURS 40 hours per week 8 hours per working day EMPLOYMENT CLASSIFICATION Employment Classification Eligibility — W2   RELOCATION Not eligible for relocation benefits West 4 th Strategy is an Equal Opportunity (EEO) employer. This position is an opportunity for a talented commercial transactions attorney with extensive experience in the healthcare industry to serve in an impactful, business-oriented in-house legal role supporting ZOLL Itamar's sleep diagnostics business and specifically the sale of ZOLL Itamar's medical devices and services, software solutions and diagnostic testing services as well as the management of its varied product and service vendors. Serving as a critical member of a dynamic team, Counsel will partner with the Management, Sales, Operations and Marketing teams to review, negotiate and draft a wide range of commercial sales and privacy related agreements as well as provide legal advice on a broad range of commercial and corporate issues.

The position supports a critical function of the business with visibility throughout the business and requires meaningful judgment, discretion, time management and organizational intelligence. Counsel will collaborate with internal clients in various functional areas, including Sales, Management, Marketing, Operations, Finance, Digital Health and Compliance. This role will help drive commercial success as well as operational efficiency of the business. The role will be initially reporting to ZOLL Itamar's General Counsel, however reporting may be subject to change after onboarding.

Essential Functions

  • Draft and Negotiate Contracts – Draft, review and negotiate all forms of contracts and third-party agreements with customers, vendors and partners. Examples include a range of customer sales agreements (e.g., customer sales agreements for medical device, related services, SaaS and software licensing; service level agreements, ASP customer agreements, reseller agreements, partnership agreements and purchase order terms and conditions), privacy and data protection agreements (e.g., business associate agreements, data processing agreements and information security agreements) and vendor and service provider agreements. The predominant and primary focus of this role will be contract negotiation.

  • Advise the Business – Provide timely, high-quality analysis and pragmatic advice on legal and business issues to internal clients. Provide proactive legal and business counseling on a broad range of topics, including, general commercial law, contract interpretation, privacy regulations, healthcare compliance regulations.

  • Support Corporate Initiatives – Assist with corporate-level initiatives or other assigned duties.


Required/Preferred Education and Experience

  • Graduate of an accredited law school and licensed to practice law in the employee’s state of residence required

  • 2 - 5 years of legal experience as a dedicated commercial transactions attorney with preference for individuals having a background in the medical device and healthcare software solution space

  • Experience as in-house counsel or with a law firm dedicated in supporting an internal sales organization is strongly preferred


Knowledge, Skills and Abilities

  • Exceptional oral and written communication and interpersonal skills, including the ability to actively listen

  • Ethical integrity and strong analytical skills

  • Excellent business judgment and sound decision-making ability

  • Ability to interface professionally and effectively with all levels of personnel internally and externally

  • Professional demeanor, high competency and positive attitude

  • Working knowledge of healthcare compliance regulations (e.g., state and federal anti-corruption, fraud, waste and abuse, anti-kickback, corporate practice of medicine, Sunshine and Stark laws) and privacy regulations (e.g., HIPAA, GDPR, CCPA and CCPRA) is preferred

  • Ability to perform the essential duties and responsibilities of the position, as described above and as modified from time to time based on ZOLL Itamar’s diverse and evolving needs

  • Experience as in-house counsel or with a law firm dedicated in supporting an internal sales organization is strongly preferred
