POSITION SUMMARY: The Senior Transactional Paralegal will support attorneys in preparing and managing documentation related to construction, corporate, real estate, and financial transactions. This role involves document drafting and review, document negotiation, due diligence, closing coordination and entity formation. Responsibilities: Provides a variety of legal assistance and technical work requiring a specialized knowledge of processes, procedures, and practices to support legal activities. Provides litigative case management Annotate deficiencies in case materials, e.g., missing documents, conflicting statements, and request further investigation by investigative personnel to correct deficiencies, Serves as contact person for assigned cases and provides information and assistance concerning status or relevant procedural issues. Compiles, organizes, and indexes various discovery and evidence exhibits for trial, witness testimony as it relates to specific criminal charge evidence. Works closely with assigned attorney(s) to ensure material is efficiently arranged. Provides technical assistance to attorneys with e-discovery platforms and document review systems. Produces and provides to the attorney the appropriate legal documents, information, exhibits, or witnesses at the appropriate time during those court proceedings. Prepares and coordinates exhibits for trial which typically involves a wide range of visual materials including charts, diagrams, photographs, and models. Depending on the nature and complexity of the case, personally prepares trial exhibits, or initiates preparation by other appropriate staff or contractors to ensure timely production prior to the trial date. Maintains accounting systems for materials to be used as exhibits in grand jury proceedings and trials, prepares lists and tables to correlate the exhibits with grand jury transcripts, and keeps a strict account of the exhibits used in such proceedings. Provides automated litigation to attorneys in trial preparation and courtroom presentations. Provides technical in court support by utilizing various software applications e.g., enlarging charts and photographs, duplicating tapes and videos, and marking and annotating the exhibit list during testimony. Performs a variety of administrative duties in support of the assigned AUSAs, which typically involves automation support or other administrative subject matter areas. • Using established databases, performs data searches, report design, and other data retrieval assignments. Opens, maintains, and closes case files to include receiving newly opened case files and taking necessary measures to notify the proper client agency of service and to obtain litigation report and/or other needed case information. Establishes and updates database to track receipt of cases, upcoming deadlines, and other case information. Keeps attorneys and appropriate staff members informed of the status of cases. Monitors the progress of pending cases and initiates action to ensure that established deadlines are met. Physically maintains case files and case related material in status within a filing system that is accessible and enables easy retrieval. Closes case file in a timely manner. Purges unnecessary documents and forwards files to archives. Prepares a variety of legal documents, correspondence, and other related material from templates including subpoenas, liens, come ups and writs, transmittal of pleadings, status updates to client agencies, notices to adverse counsel and/or cocounsel, and submits for AUSA review and approval prior to filing/issuance. Maintains AUSAs and court calendars, schedules court reporters, witnesses, and conferences as required. Answers outside inquiries not requiring legal interpretations and refers other questions to appropriate office members. Exercises judgment and discretion in determining information provided to telephonic inquiries and visitors. Qualifications: Required: Requires paralegal certificate, or JD, or currently attending an ABA-accredited law school, having completed at least one year of study, or an equivalent level of legal training or experience; or an equivalent level of education may be substituted. Additionally at least two years of litigation paralegal experience or project experience (as related to the task order) is required. At least one year of experience in automated litigation support. Requires sound working knowledge of federal and state court system, legal research procedures, and legal research resources. Requires excellent written and oral communication skills and thorough knowledge of legal research tools such as LEXIS and Westlaw. Must have hands-on familiarity with a variety of computer applications, including word processing, databases (such as document review and file management systems), spreadsheets, imaging, and hardware systems. Role also requires hands-on familiarity with ESI tools and knowledge of eDiscovery procedures and resources. Senior Transactional Paralegal

McCarthy Holdings, Inc. (MHI), is currently searching for a Senior Transactional Paralegal to support the Legal Department. This position can be located in our Phoenix, AZ office and will support multiple attorneys and business units across 5 regions.

POSITION SUMMARY:

The Senior Transactional Paralegal will support attorneys in preparing and managing documentation related to construction, corporate, real estate, and financial transactions. This role involves document drafting and review, document negotiation, due diligence, closing coordination and entity formation. The ideal candidate is detail oriented, proactive and capable of managing multiple priorities in a fast paced environment.

PRINCIPAL RESPONSIBILITIES:

  • Draft, review, edit and negotiate various transactional documents, including contracts, agreements, resolutions and closing binders.
  • Conduct due diligence reviews and summarize findings.
  • Liaise with clients, vendors, government agencies and internal departments.
  • Track and manage critical dates and deliverables for transactions.
  • Assist with entity formation, governance and maintenance.
  • Organize and maintain corporate records, including minute books, resolutions and filings
  • Ensure compliance with internal policies and applicable laws and regulations.
  • Is responsible for the management of the internal matter management system including opening matters, organizing documents, running reports, and assisting with outside counsel accounts payable
  • Organizes and maintains electronic document repositories for active matters
  • Tracks legal deadlines and ensures timely compliance with document requirements
  • Attends meetings with internal stakeholders and participates in strategy discussions

QUALIFICATIONS:

  • 10-15 years of experience as a litigation paralegal
  • Bachelor's degree or Paralegal Certificate from an ABA-approved program
  • State licensed if required by the state in which you currently practice
  • Experience in construction industry (preferred)
  • Strong understanding of contract law, business entities and the transaction process.
  • Proficient in Microsoft office suite and legal document management systems.
  • Notary Public designation is a plus.
  • Exceptionally skilled at organization; detail-orientated
  • Superb written and oral communication skills
  • Ability to maintain strict confidentiality and exercise discretion
  • Excellent judgment and high degree of integrity
  • Communicate effectively with all levels of management and staff as well as outside counsel
