DUTIES: Section 1 - GENERAL TITLE COMPANY DUTIES INCLUDE: Must be able to handle a moderate volume of residential and/or commercial real estate closings (25-30) from contract to closing. Understand how to balance a closing statement and incorporate lender funding “net” or “gross”. Knowledge of industry closing software is required, SoftPro is preferred but not required. Understand how to E-record and the order of recording. Understand how to issue title policies in a timely fashion. Section 2 - GENERAL REPRESENTATION DUTIES INCLUDE: In addition to the title company duties defined in Section 1, candidate must be competent: Draft and understand residential and commercial real estate documents including: Purchase and sales contracts Closing statements Closing documents (including deed, bill of sale, affidavits, company resolutions, etc.) Loan documents (including promissory note, mortgage, assignment of leases, closing statements) Due Diligence Activities Understand “Defined Terms” within a purchase and sales contract and prepare, calendar and monitor contract critical dates. Review third-party reports and convey pertinent information to attorney and client Review surveys and point out encroachments or violations. REQUIREMENTS: A real estate law paralegal shall possess an undergraduate degree and a minimum of three years’ experience working as a legal assistant or shall possess a high school diploma plus formal and extensive training as a paralegal. In addition, the candidate for this position shall have at least five (5) years’ experience working in the real estate law section of a mid-size or large law firm. Must have ability to process a volume of various types of real estate purchase and sale files and loan files simultaneously. Strong organizational skills are a must. Must have the ability to keep up to date reports on each file indicating status of file and what is pending. Must have thorough knowledge of state and county customs and laws relating to real estate law, conveying property, title and surveying, condominium, and homeowner’s association laws. Job Description

Fox Rothschild LLP is seeking a Corporate Paralegal with at least five (5) years of experience in assisting with transactional matters.

ESSENTIAL FUNCTIONS:

  • Coordinate the signature process, including the creation of a signature matrix.
  • Draft and file the required closing certificates with the appropriate Secretary of State's office (varies by jurisdiction).
  • Obtain tax clearance, as necessary.
  • Distribute final original documentation to lenders and other parties and obtain receipt acknowledgements (varies by jurisdiction).
  • Review corporate documents for authority to enter into financial transactions and verification of other corporate information.
  • Assist with financing transactions, business transactions and real estate transactions.
  • Assist with closing preparation by conducting: due diligence, prepare the closing agenda, prepare and organize closing files.
  • Assist with research and compilation of state specific requirements for entities authorized to do business, or with subsidiaries/affiliates, in various states.
  • Assist with preparation of documents/forms necessary to comply with federal, state and local regulations in the conduct of business activities.
  • Review and manage all transactional and corporate governance documents for the length of the transaction and/or representation.
  • Prepare and maintain corporate books and records in all aspects of business formation, maintenance and termination.
  • Work closely with all case team members, attorneys and clients during all phases of the transaction.

QUALIFICATIONS (EXPERIENCE, KNOWLEDGE, SKILLS, AND ABILITIES):

Education:

  • Associate's degree or paralegal certificate required; BA or BS degree strongly preferred.

Experience:

  • At least five (5) years of experience in assisting with transactional matters.

Knowledge, Skills, & Abilities:

  • Excellent written and verbal communication skills.
  • Ability to multitask using analytical and problem-solving skills within a fast-paced environment with competing demands.
  • Excellent client service and interpersonal skills.
  • Ability to maintain highest level of confidentiality and provide outstanding service to internal and external clients/contacts.

  • Familiarity with drafting deeds, mortgages and legal descriptions for agreements.
  • Experience with reviewing/revising sales and lease agreements and the commercial real estate closing process (in general).

This job operates in a clerical, office setting. This role routinely uses standard office equipment such as computers, phones, photocopiers, filing cabinets and fax machines.

PHYSICAL REQUIREMENTS
