Responsibilities Assist in the formation of business entities, including corporations, partnerships and limited liability companies. Prepare corporate formation documents and board and stockholder resolutions. Prepare and maintain corporate record books in both paper and electronic format Assist attorneys in closing business transactions, including corporate financings, mergers and acquisitions and private fund closings. Utilize Litera Transact, DocuSign , Carta and similar software solutions in conjunction with closings.
