Requirements ESSENTIAL DUTIES Assist in the preparation, review, and filing of SEC reports, including Forms 10-K, 10-Q and 8-K. Maintain corporate records and SEC filings to ensure compliance with corporate governance requirements. Support in the preparation and coordination of board and committee meetings, including drafting agendas, resolutions and minutes. Conduct legal research and provide support on various corporate and securities law matters, as well as disclosure obligations. Liaise with external counsel and regulatory agencies as needed. Use strong organizational skills to manage multiple tasks simultaneously, ensuring each is handled efficiently and accurately. Maintain legal tracking systems and provide communication to internal clients. Assist with insider trading compliance, including managing blackout periods and tracking insider transactions. Prepare and edit legal documents, correspondence, policies, communications, presentations and other documents. Conduct research, collect and analyze data to prepare reports and documents. Manage Legal Department invoices from outside vendors and perform other paralegal functions as required. Coordinate creation of case management repository for new matters and carry primary responsibility for case file organization, including but not limited to prompt ECF downloading and distribution. Generate and format legal documents; prepare and organize exhibits and finalize for filing and service; coordinate with local counsel and process server. Electronically file court papers, remaining current in the nuances of electronic filing rules in pertinent jurisdictions to ensure successful submissions. Inform the Litigation Docketing Department (“LDD”) when any new matter is opened; promptly email all filed, served and received documents, party agreements, discovery requests, deposition notices, etc., to the LDD inbox; work closely with LDD to ensure workflow needs are met. Schedule and coordinate depositions, including maintenance of deposition calendar, transcript processing, and distribution of transcripts and errata sheets to witnesses. Communicate with expert witnesses, coordinate logistics and assist with expert report drafting. Communicate with clients; answer or direct inquiries. Participate in pre-trial planning, coordinate trial logistics and participate in trial events, including on-site support and post-trial shut down. What Will You Bring to the Table? Minimum of 3 years’ litigation paralegal experience in a law firm environment, with the focus on legal services delivery. Experience with patent litigation is preferred. Ability to change and adapt to current and future responsibilities and circumstances. Occasional travel is required in this position. Job Description

Provides legal assistance to company with a focus on U.S. Securities and Exchange Commission (SEC) compliance. Acts as liaison between company legal team, outside counsel, and external organizations. Provides general support to our legal team in preparing and filing reports with SEC and has a strong knowledge of securities laws and corporate governance practices.

Requirements

ESSENTIAL DUTIES

  • Assist in the preparation, review, and filing of SEC reports, including Forms 10-K, 10-Q and 8-K.
  • Maintain corporate records and SEC filings to ensure compliance with corporate governance requirements.
  • Support in the preparation and coordination of board and committee meetings, including drafting agendas, resolutions and minutes.
  • Conduct legal research and provide support on various corporate and securities law matters, as well as disclosure obligations.
  • Liaise with external counsel and regulatory agencies as needed.
  • Use strong organizational skills to manage multiple tasks simultaneously, ensuring each is handled efficiently and accurately.
  • Maintain legal tracking systems and provide communication to internal clients.
  • Assist with insider trading compliance, including managing blackout periods and tracking insider transactions.
  • Prepare and edit legal documents, correspondence, policies, communications, presentations and other documents.
  • Conduct research, collect and analyze data to prepare reports and documents.
  • Manage Legal Department invoices from outside vendors and perform other paralegal functions as required.

    • Information regarding a patient of this company shall not be released to any source outside of this company without the signed permission of the patient. Furthermore, information will only be released internally on a need-to-know basis.   • Familiarity with EDGAR filing system and SEC disclosure requirements
  • Demonstrated skills in standard MS Office suite: Excel, Word, PowerPoint, Outlook
  • Excellent oral and written communication and interpersonal skills
  • Excellent analytical, organizational and project management skills
  • Excellent decision-making skills
  • Ability to work independently

Preferred:

  • Knowledge of software related to legal activities
  • Training experience
  • Public pharmaceutical or medical device regulatory experience
