Job DetailsWe are seeking an experienced attorney to join our legal team as In-House Counsel, with a focus on contracts and contract-related matters. This role will primarily support the hospital system’s IT, clinical, and administrative departments by drafting, reviewing, and negotiating agreements related to healthcare operations and technology solutions.Key Responsibilities
  • Draft, review, and negotiate a wide range of contracts, including IT vendor agreements, software licenses, SaaS contracts, clinical research agreements, managed services, equipment leases, professional services, and other healthcare-related contracts.
  • Ensure that contracts comply with applicable federal and state healthcare laws and regulations, including HIPAA, Stark Law, and Anti-Kickback Statute.
  • Collaborate with internal stakeholders—including IT, compliance, finance, procurement, and clinical leadership—to identify business needs and ensure contractual terms support organizational goals.
  • Provide legal advice regarding contract interpretation, risk allocation, indemnification, insurance, warranties, and data security.
  • Support the development and maintenance of contract templates, playbooks, and policies to improve efficiency and consistency across the organization.
  • Assist with due diligence and integration of contracts in connection with hospital system partnerships, joint ventures, or acquisitions.
  • Monitor legal and regulatory developments affecting healthcare contracts and advise leadership on potential risks and compliance requirements.
Qualifications
  • JD required; must be licensed and in good standing with at least one state bar.
  • Minimum of 7years of experience with contracts, preferably in healthcare, hospital systems, or health IT.
  • Strong knowledge of healthcare regulations, privacy laws, and compliance frameworks (HIPAA, HITECH, Stark, Anti-Kickback).
  • Proven experience drafting and negotiating complex IT and vendor agreements.
  • Excellent communication, negotiation, and problem-solving skills.
  • Ability to work effectively with cross-functional teams in a fast-paced healthcare environment.
